TERMS OF USE

Effective Date: 01 April 2025
These Terms of Use govern access to and use of the Wellence’s Slack (or Teams) based application ("Software") provided by Wellence Ltd ("Provider"). By accessing or using the Software, you agree to these Terms. If you do not agree, you must not use the Software.
Definitions
Business Customer – Entity or individual using the Software for professional purposes.
Consumer – Individual using the Software outside professional context.
Effective Date – The date these Terms are accepted.
Software – The Slack-based application and associated services provided by Wellence.
Intellectual Property Rights – All IP rights including copyright, trademarks, and similar.
UK Data Protection Laws – UK GDPR and Data Protection Act 2018.
Parties – Wellence Ltd and the User.
User – Any individual accessing or using the Software.
Grant of Licence
The Provider grants the User a non-exclusive, revocable, non-transferable right to use the Software through Slack for internal business purposes.Users authenticate via their Slack account. No separate login or credentials are required.
Termination of Use
Users may cease using the Software at any time. The Provider may suspend or terminate access in cases of misuse, legal compliance needs, or service discontinuation.
Restrictions
You must not:
Misuse or reverse-engineer the Software.
Use the Software in violation of any laws.
Attempt to rebrand or resell the Software.
Intellectual Property
The Provider retains all IP rights in the Software. Users retain rights in their inputs. Outputs may be used by Users, but responsibility for legal compliance rests with the User.
Data Protection
The Provider is a Data Controller for limited personal data processed. The Privacy Policy (https://www.wellence.me/privacy) governs our data practices. Users are responsible for ensuring any personal data they input is lawful and compliant with UK Data Protection Laws.
Subprocessors
Current subprocessors include:
‍OpenAI – processes messages anonymously (no user/company context).
‍LangChain – brokers messages between Wellence and OpenAI.
‍MixPanel – provides anonymised, aggregated analytics with access limited to authorised staff.
Support and Changes
The Provider may update or enhance the Software and will communicate major changes. Support is available at team@wellence.me.
Fees
Fees, where applicable, are governed by separate commercial agreements and not detailed in these Terms.
Limitation of Liability
Wellence Ltd will not be liable for any indirect, incidental, or consequential damages. Nothing in this Agreement limits liability for death or personal injury caused by negligence or for fraud.
Governing Law
This Agreement is governed by the laws of England and Wales. Disputes will be subject to the jurisdiction of the English courts.
